End-User License Agreement & Terms of Use

These Terms of Use ("Terms") constitute a binding agreement between you ("you" or "the End User") and Genysys Capital ("Company", "we", "us") governing your access to and use of the Genysys OS™ intelligent lending platform, including the borrower portal, Instant Profile, application flows, dashboards, and related services (collectively, the "Services").

If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.

The Services provide tools for applying for and managing business financing products — including small-business loans, revenue-based financing, and venture debt — along with financial profile management, document collection, underwriting support, and loan servicing tools.

Lending products, where offered, are subject to independent credit review, verification, and final approval by the Company or its lending partners. Nothing in the Services constitutes an offer of credit or a commitment to lend.

You must be at least 18 years old and legally able to enter into contracts. Business applications require that you be an authorized representative of the business applying for financing.

The Services may let you connect third-party accounts — such as QuickBooks Online, Stripe, Shopify, or your bank — to supply financial evidence. When you do so:

• Authorization is performed through the third party's own secure approval screen, and access tokens are stored server-side, never in your browser.
• We request read-only access sufficient to retrieve financial statements and related data for underwriting.
• You may disconnect an account at any time, and disconnecting does not by itself affect any pending application beyond removing that evidence source.

• Provide accurate, current, and complete information, including financial statements and business details.
• Not submit false, misleading, or fraudulent information or documents.
• Keep your credentials secure and not share your account.
• Use the Services only for lawful purposes and only for the business you are authorized to represent.
• Promptly notify us of any unauthorized access to your account.

The platform, including the Genysys OS™ name, scoring models, software, and content, is owned by the Company and protected by intellectual-property law (patent pending). You receive a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, reverse-engineer, resell, or create derivative works from the platform.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, unless applicable law provides otherwise.
